Ecolab Announces Final Proration Factor of 4.7060 Percent for Shares Tendered in Split-Off Exchange Offer in Connection With Apergy Transaction

ST. PAUL, Minn.–(BUSINESS WIRE)–Ecolab Inc. (“Ecolab”) announced today the final proration factor of 4.7060 percent in its split-off exchange offer for Ecolab common stock in connection with the previously completed separation of its Upstream Energy business (the “ChampionX Business”) and merger of ChampionX Holding Inc. (“ChampionX”), the former Ecolab subsidiary holding the ChampionX Business, with a subsidiary of ChampionX Corporation (f/k/a Apergy Corporation, “Apergy”), which successfully closed on June 3, 2020.

Exchange Offer Results

A total of 97,294,237 shares of Ecolab common stock were validly tendered and not properly withdrawn in the exchange offer, including 395,463 shares tendered by odd-lot shareholders (excluding certain plan participants in Ecolab savings plans). Such odd-lot shareholders were not subject to proration, and all of such shares were accepted in the offer. The remaining validly tendered shares of Ecolab common stock were accepted in the exchange on a pro rata basis using the final proration factor of 4.7060 percent. Shares of Ecolab common stock that were validly tendered but not accepted for exchange will be returned to tendering shareholders.

Under the terms of the exchange offer, 122,237,115 shares of ChampionX common stock were available for distribution in exchange for shares of Ecolab common stock accepted in the exchange offer. The final exchange ratio for the exchange offer was set at 24.6667 shares of ChampionX common stock for each share of Ecolab common stock validly tendered and not properly withdrawn. In the merger, each whole share of ChampionX common stock automatically converted into the right to receive one share of Apergy common stock. Accordingly, Ecolab stockholders who tendered their shares of Ecolab common stock as part of the exchange offer received 24.667 shares of Apergy common stock (subject to receipt of cash in lieu of fractional shares) for each share of Ecolab common stock tendered and accepted for exchange. Ecolab accepted 4,955,552 shares of Ecolab common stock for exchange in the exchange offer.
